Terms and Conditions of Sale

Any goods or services sold or provided by Seasons 4 Inc. dba S4 Lights are sold or provided solely to the Terms and Conditions hereinafter set forth. Customers ordering or accepting any goods or services will be deemed acceptance of these Terms. Customer includes all parent(s), subsidiaries and affiliates of the entity purchasing goods and services from S4 Lights. Any person engaging in a sales transaction on behalf of Customer represents it is authorized to bind Customer to the sales transaction and these Terms and Conditions.

Complete Agreement. S4 Lights Estimate, Sales Order, and Invoice (any or all) constitute the entire and only agreement between Customer and S4 Lights. No waiver, alteration or modification of these agreements shall be binding unless approved in writing by an authorized representative of S4 Lights.

Conflict of Conditions. Any different terms or conditions in Customers purchase order, or any other document containing additional, conflicting, or inconsistent terms, are not binding on S4 Lights unless mutually agreed to and approved in writing by an authorized representative of S4 Lights.

Limitation of Liability. S4 Lights liability for defective or nonconforming goods sold, is limited to, and in no event shall exceed, the amount paid by Customer for such defective or nonconforming goods. In no event shall S4 Lights be liable for any special, punitive, exemplary, incidental, or consequential damages including, but not limited to loss of profits, downtime, claims of third parties, and injury to property.

Limitation of Action. In no event may any claim by Customer arising from or relating to any agreement, order or sale of any goods or services, be brought more than one year after the date of delivery or the date such claim arose, whichever earlier.

Change in Control. Customer agrees to send S4 Lights written notice of any changes in the form of ownership of Customers business at least (30) days prior to such changes. S4 Lights, regardless of the terms stated on invoice(s), may require all outstanding amounts be paid in full on demand upon change in ownership.

Insolvency. In the event Customer fails to timely pay any obligation to S4 Lights, becomes bankrupt, has a receiver appointed to its property, or assigns for the benefit of its creditors, S4 Lights has the unrestricted right to cancel, withhold, or delay its performance or delivery without liability for any losses claimed by Customer.

Non-disclosure. Customer agrees not to disclose or grant access to S4 Lights confidential information including, without limitation, all proprietary information, data, intellectual property, materials, devices, ideas, processes, programs, research, development, or other business information of confidential nature without S4 Lights written consent.

Effect of Electronic Transactions, Signatures. In the event that electronic documents or electronic signatures are used in connection with any transaction between Customer and S4 Lights, no transaction or agreement shall be denied legal effect solely because any portion thereof, including any signature, is in electronic form.

Governing Law. All agreements between S4 Lights and Customer will be governed by the laws of the Commonwealth of Virginia and any formal legal action will be decided by courts situated in the Commonwealth of Virginia.

Shipping and Delivery Expectations:
  • In-stock orders ship within 1 business day
  • Standard ground shipping delivers in the continental U.S. within 2-6 business days
  • Standard freight shipping delivers in the continental U.S. within 2-10 business days
  • Delivery times to Alaska, Hawaii, Puerto Rico, and Canada vary, contact us for estimates
  • Transit times may differ between shipments to commercial and residential destinations
  • Saturday delivery is available, additional carrier fees may apply
  • Expedited in-stock orders placed before 4pm EST will ship the same day via Next Day Air, 2-Day, or 3-Day shipping options
  • Pricing for FOB factory import and container delivery is available upon request
  • Delivery times are not guaranteed due to the potential for causes beyond our reasonable control
  • Upon request, we will ship using your shipper account
  • We offer blind shipping, contact us to set up
  • Place your order in advance and we will store it until you need it shipped
  • Partial shipments are permitted
Customer Pickup:
Customer pickup is available from our Toano, VA warehouse Monday-Friday (excluding holidays) 8am to 4pm local time. Please contact our Customer Service team at 1-888-660-6640, to arrange for customer pickup.
Inspection, Damages and Shortages:
  • S4 Lights strives for 100% order and shipping accuracy, however human error does occur so please carefully inspect all orders immediately upon receipt for shortages and damages
  • If your order arrives short or any part is damaged, note the issue on the carriers delivery receipt before signing off on the shipment
  • Please contact us immediately (within 3 business days) to report discrepancies, shortages, or damages, and take pictures of any damage to share with us so we can do our best to rectify the situation

Customer satisfaction is top priority at S4 Lights. Should you need to change an order placed for regular stock product, such as adding or deleting items, changing quantities, shipping destinations or schedules, we will always do our best to accommodate you. Custom product orders are non-cancellable, and changes are not accepted once production begins.
S4 Lights stands by its products and wants you to be 100% satisfied. If for any reason you are not satisfied, we will accept returns of regular stock product within 30 days of delivery. Important Stipulations:
  • All returns, including returns of defective product, must be pre-approved by S4 Lights
  • Returned products, to the extent possible, should be returned intact in its original packaging
  • Please keep original packaging for at least 30 days in case you need to return product
  • Do not write or mark on the packaging or outer cartons
  • Returns are subject to a 15% re-stocking fee
  • Customer is responsible for shipping costs both ways, unless returning defective product
  • Credit granted for approved returns will be applied to your account
  • Customer will remain liable for the invoiced price of non-defective goods returned in unsellable condition
  • Custom made product is non-returnable and non-refundable
Defective Product:
  • First, our sincerest apologies for our product not meeting your expectations
  • If you notify us within 30 days of receiving your order, we will gladly replace the defective product or offer a substitution in the event the product is out of stock
Return Instructions:
  • We are here to help. Please contact us to initiate returns within 30 days of receiving your order
  • All returns, including returns of defective product, require pre-authorization and a Return Merchandise Authorization (RMA) number referenced on the return shipping documents
  • Before issuing an RMA number, we will need the following information:
    1. Your sales order number and/or shipment ID
    2. The product and quantities you are returning
    3. Why you are returning the product
  • Customer is responsible for paying return shipping costs of non-defective product
  • Remember to save tracking information

For these reasons, S4 Lights stands by its products and offers 2-year, 3 and 4-season limited warranties. Unless credit terms have been granted by S4 Lights, payment for products and shipping costs will be due at time of shipment. If you would like to apply for credit terms, please contact us for a credit application. We are pleased to provide interest-free terms to help our customers free up much needed cash flow. We know how important it is for us, so we are committed to this benefit for qualifying customers.
